Появилась хорошая корейская статья про механику конвертации SK hynix и дату 29 июля. Если кратко: физический арбитраж пока просто не работает. Сейчас у Citi книги по SKHY официально закрыты как для выпуска, так и для погашения ADS. Плановая дата открытия - 29 июля, когда на корейской бирже должны залистить новые акции, выпущенные под ADR-размещение. Точный порядок дальнейшей конвертации будет зависеть от инструкций Citi. До этого момента институционалы не могут нормально запустить очевидную связку: • купить одну корейскую акцию SK hynix; • передать и заблокировать её у кастодиана; • получить 10 новых американских ADS $SKHY; • продать их с премией на американском рынке. Но даже после 29 июля основная проблема никуда не исчезает. Конвертация асимметричная: 🟢 ADR → корейская акция По информации KSD, при погашении ADR нет аналогичного issuer-set лимита по объёму. ADS погашается, а базовая корейская акция переводится владельцу. При этом процедуры и возможные ограничения Citi всё равно остаются. 🟠 Корейская акция → ADR Чтобы провести такую конвертацию, Citi должен выпустить новые ADS, заблокировав соответствующие корейские акции у кастодиана. Именно здесь появляются ограничения: • лимит выпуска ADS, установленный эмитентом; • процедуры KSD; • валютная отчётность; • доступ через брокера; • инструкции и сроки обработки Citi. Для корейской розницы стандартного способа провести такую конвертацию через MTS/HTS сейчас нет. Процесс требует ручного оформления через KSD и валютной отчётности, поэтому на практике он доступен преимущественно институционалам. Что с лимитом ADS? В американской Form F-6 зарегистрировано до 1.78B ADS. В рамках IPO было размещено только 177.9M ADS, представляющих 17.79M новых корейских акций. Получается разница примерно в 1.60B ADS. Но тут важно не перепутать: зарегистрированный объём ≠ реально доступная квота для конвертации. Form F-6 показывает американский регистрационный потолок. Она не доказывает, что после 29 июля Citi сможет или будет готов сразу выпустить все оставшиеся ADS. (финальный проспект) Реальная доступность всё равно зависит от лимитов компании, KSD, валютного регулирования, брокеров и самого депозитария. Моя мысль Ближе к 29 июля или уже после этой даты спред действительно может начать сокращаться, когда институционалы получат возможность создавать новые ADS. Но механического схождения к нулю я бы не ждал. Хороший пример - TSMC. Из-за похожих, хотя и не идентичных ограничений конвертации её американские ADR в 2026 году торговались в среднем с премией около 17.5% к тайваньским акциям. И буквально через пару месяцев Binance (а теперь YZi Labs) выкатывает конкурента на BNB Chain. CZ лично шилит в твиттере, биржа дает листинг, комиссии ниже, вход проще. Классика. Проблема в том, что это не работает. Ни разу за 6 лет не сработало. Смотрите сами. Только под Uniswap Binance выпустил четыре (!) DEX-клона: BakerySwap, BurgerSwap, Biswap, PancakeSwap. Из четырех три сейчас торгуются по $0.0007 или ниже. PancakeSwap - единственный выживший. На пике он реально обогнал Uniswap по объемам. Казалось, вот оно. Но Ethereum масштабировался через L2, юзеры вернулись, а CAKE проехал с $44 до $1.47. Минус 97%. Uniswap как стоял, так и стоит. С лендингом та же история. Venus - форк Compound + MakerDAO на BNB Chain. ATH $147, сейчас $2.80. Минус 98%. Binance NFT - запустили в 2021 как убийцу OpenSea. Комиссия 1% вместо 2.5%, интеграция прямо в биржу. В 2024 урезали поддержку Bitcoin NFTs. Площадка формально жива, по факту - пустота. Самая свежая и самая драматичная история - Aster. Perp DEX, прямой конкурент Hyperliquid. CZ шилил лично, YZi Labs проинвестировали, команда из бывших сотрудников Binance. Токен за неделю сделал +2800%, суточный объем в пике показал $70 млрд. А потом DeFiLlama убрала данные Aster с платформы - обнаружилась корреляция 1:1 с объемами Binance по нескольким торговым парам. ZachXBT публично назвал это вош-трейдингом.
