Но криптоиндустрия созрела для новых подходов: более гибких, эффективных и соответствующих реалиям рынка. 🔤 Почему вообще появились крипто-фонды? В 2015–2019 годах запуск проекта с токеном без регуляторных проблем был практически невозможен. Поэтому появились non-profit-фонды. Они якобы управляли сетью, но не получали прибыли, не имели акционеров и не были напрямую связаны с создателями. Фонды держали трежери, проводили грантовые программы, и, в теории — не контролировали сеть. Это позволяло избежать признания токена «ценной бумагой». 🔎 Что пошло не так? Со временем стало понятно: юридическая оболочка не решает проблему стимулов и эффективности. 1️⃣ Нет рыночной дисциплины У фонда нет прибыли, нет обязательств перед инвесторами, нет метрик эффективности. Это означает: можно тратить десятки миллионов на гранты и не получить никакого роста. 2️⃣ «Shadow governance» Часто решения принимает не DAO, а совет директоров фонда. Фонды всё чаще концентрируют власть: управляют апгрейдами, трежери и ключами. Согласно данным a16z, создание фонда занимает в ~6 месяцев и стоит от $500 тыс. в юрконсалте. Итог — структура, которую нельзя эффективно управлять и сложно масштабировать. 🗂 Искривлённые стимулы и отток талантов Любым компаниям проще выстраивать мотивацию: equity, опционы, привязка к выручке, когда в фондах — только волатильные токены + ограниченные бюджеты на компенсации. В результате мы видим, что многие сотрудники фондов переключаются на внешние активности: консалтинг, запуск собственных проектов, охоту за грантами. Хорошим примером является ConsenSys — частная компания, стоящая за MetaMask и многими решениями в экосистеме Ethereum. Именно она, а не фонд, стала драйвером adoption. 📥 Новая альтернатива На смену фондам приходят Public Benefit Corporations (PBC) и обычные дев-компании с контрактной связью с DAO. Например, DAO выпускает токен, а затем девелоперская компания получает часть эмиссии за выполнение определённых KPI (апгрейды, привлечение клиентов, рост TVL); Такой подход уменьшает регуляторный риск, увеличивает эффективность и сохраняет контроль у сообщества. 🛠 Инструменты, которые уже работают: • Revenue sharing — компания получает % от инфляции токена или дохода протокола. • Milestone vesting — токены разблокируются по мере достижения целей: количество пользователей, количество контрактов, апгрейды и т.д. • Clawback — DAO может отозвать токены при невыполнении условий. 📥 И чтобы не возвращаться к централизованным структурам, уже тестируются новые решения: • DUNA (Decentralized Unincorporated Nonprofit Association) — легальная оболочка для DAO, без фейковых советов директоров и оффшоров. Дешевле, проще и прозрачно. • BORG — набор onchain-инструментов: комитеты, грантовые программы, трежери. Эти структуры уже отвечают требованиям будущей регуляции: минимум доверия, максимум автоматизации. ❕ Эра «Foundation» в криптоиндустрии подходит к завершению. Сейчас есть возможность отработать несколько активностей на Galxe для фарма поинтов. В будущем поинты скорее всего конвертируют в токены $MAWARI.
